Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services provided by Northline Frame Studio, a production-studio business located at 742 King Street West, Toronto, ON M5V 1M3, Canada (“Northline Frame Studio,” “we,” “us,” or “our”).
By requesting, booking, purchasing, or otherwise using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all clients, customers, and users of our services, including commercial video production, brand content creation, studio photography, post-production editing, motion graphics and animation, creative direction and scripting, and product showcase filming.
2. Scope of Services
Northline Frame Studio provides creative and production services for commercial and brand-related projects, including but not limited to:
- Commercial video production
- Brand content creation
- Studio photography
- Post-production editing
- Motion graphics and animation
- Creative direction and scripting
- Product showcase filming
The exact scope, deliverables, timelines, revisions, usage rights, and technical specifications for each project will be set out in a proposal, estimate, statement of work, booking confirmation, invoice, or other written agreement between the parties. In the event of any conflict, the written project-specific agreement will prevail over these Terms to the extent of the conflict.
We reserve the right to refuse, suspend, or discontinue any project or service request at our discretion, including where a project is unlawful, unsafe, defamatory, discriminatory, infringing, or otherwise inconsistent with our professional standards.
3. User Obligations and Responsibilities
By engaging our services, you agree to:
- Provide accurate, complete, and timely information necessary for project planning and delivery;
- Obtain all permissions, releases, licenses, and consents required for any materials you supply to us;
- Ensure that any content, instructions, branding, scripts, products, locations, or third-party materials you provide do not infringe the rights of others;
- Comply with all applicable laws, regulations, and industry standards;
- Review deliverables promptly and provide feedback, approvals, or revision requests within the timeframes agreed;
- Pay all fees and charges when due;
- Not use our services for unlawful, misleading, abusive, harassing, defamatory, obscene, or fraudulent purposes.
You are solely responsible for the accuracy and legality of any content you provide or approve. Northline Frame Studio is not responsible for errors, omissions, or legal issues arising from client-supplied materials or instructions.
4. Payment Terms and Conditions
Fees, deposits, milestones, and payment schedules will be specified in the applicable proposal, invoice, or written agreement. Unless otherwise stated:
- A non-refundable deposit may be required to secure scheduling and begin work;
- All amounts are stated in Canadian dollars (CAD) unless expressly noted otherwise;
- Taxes, including applicable federal and provincial sales taxes, will be added where required by law;
- Invoices are due upon receipt or within the payment period stated on the invoice;
- Late payments may result in suspension of work, delayed delivery, or cancellation of the project;
- You are responsible for any bank charges, wire fees, chargeback fees, or collection costs incurred in connection with your payment.
If a project exceeds the originally agreed scope due to client requests, additional revisions, reshoots, extended production time, expedited delivery, or other changes, Northline Frame Studio may issue additional charges.
We may require advance payment for third-party costs, including talent, locations, equipment rentals, props, music licensing, travel, or specialized services.
5. Cancellation and Refund Policy
Cancellations must be made in writing. Because production work often involves reserved time, planning, and third-party commitments, cancellation fees may apply.
- Deposits are generally non-refundable unless otherwise required by law or expressly stated in writing;
- If you cancel after work has begun, you may be responsible for all completed work, committed expenses, and a reasonable cancellation fee;
- If a shoot or session is cancelled or rescheduled with short notice, fees for reserved time, crew, equipment, or location costs may still be charged;
- Refunds, if any, are issued only at our discretion or where required by applicable law.
Northline Frame Studio is not responsible for delays or cancellations caused by weather, venue restrictions, client non-appearance, failure to provide access, or other circumstances outside our reasonable control.
If we cancel a project for reasons within our control, we will use commercially reasonable efforts to refund any unearned portion of fees for work not performed, subject to deduction of non-recoverable costs already incurred.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, Northline Frame Studio, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, reputational harm, or business interruption, arising out of or related to the services or these Terms.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to Northline Frame Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, unless a different limitation is required by law.
We do not guarantee specific business outcomes, audience engagement, sales performance, platform approval, or third- party acceptance of content. Creative services are subjective, and results may vary.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot legally be excluded.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including workflows, templates, tools, methods, software, techniques, and know-how used by Northline Frame Studio, remain our property or the property of our licensors.
Upon full payment of all amounts due, and subject to any written agreement to the contrary, you will receive the usage rights or ownership rights expressly described in the applicable project agreement. If no transfer of ownership is expressly stated, Northline Frame Studio retains ownership of all underlying creative materials, raw footage, project files, working files, and unused concepts, while granting you only the rights expressly set out in writing.
You acknowledge that third-party materials, including music, stock footage, fonts, plugins, and licensed assets, may be subject to separate license terms and restrictions. You are responsible for complying with those third-party terms unless we expressly agree otherwise in writing.
Unless you notify us in writing that a project contains confidential or restricted materials, you grant Northline Frame Studio a limited right to display finished work, excerpts, stills, or project descriptions in our portfolio, website, social media, award submissions, and marketing materials for self-promotional purposes, subject to any applicable confidentiality obligations.
8. Data Protection and Privacy
Northline Frame Studio collects, uses, stores, and discloses personal information only as necessary to provide our services, manage client relationships, process payments, maintain records, comply with legal obligations, and operate our business.
We will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.
By using our services, you consent to the collection, use, and disclosure of personal information for the purposes described above.
You are responsible for ensuring that any personal information, likenesses, or other data you provide to us has been collected and shared lawfully, including obtaining any required consents from individuals appearing in your content.
We may use service providers, cloud storage, payment processors, and communication tools to support our operations. These third parties may process data on our behalf subject to their own terms and privacy practices.
9. Force Majeure
Northline Frame Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, pandemic, epidemic, labour disputes, power outages, equipment failure, government action, war, terrorism, civil unrest, venue closure, transportation disruption, or internet/service outages.
If a force majeure event occurs, we may suspend performance, reschedule the project, or modify deliverables and timelines as reasonably necessary. Any affected deadlines will be extended for the duration of the event and a reasonable recovery period thereafter.
10. Changes to Terms
Northline Frame Studio may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. The updated Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.
Your continued use of our services after any change constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or any related agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute, claim, or proceeding arising from or relating to these Terms or the services, except where applicable law requires otherwise.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent.
